These CiiVSOFT AI Terms (“AI Terms”) apply to your access to and use of CiiVSOFT AI (defined below). The AI Terms form a part of the agreement between you or your organisation (collectively, “you” or “your”) and CiiVSOFT Limited (“CiiVSOFT”, “we”, “our”, or “us”), that governs your use of the Services, such as CiiVSOFT’s Terms of Service between you and CiiVSOFT (your “Service Terms”). Capitalised terms used but not defined in these AI Terms have the meaning set forth in your Service Terms. As used in these AI Terms, “Customer Data” also means “Your Content” (or similar term) as used in your Service Terms, and the “Services” also means the “CiiVSOFT Products” (or similar term) as used in your Service Terms. In the event of a conflict between these AI Terms and your Service Terms, your Service Terms will control.

“CiiVSOFT AI” refers to the features and functionality of the Services utilising generative artificial intelligence models. CiiVSOFT does not train or develop its own foundation models. CiiVSOFT AI is powered by third-party foundation models (each a “Third-Party AI Provider”), accessed exclusively through Amazon Web Services Bedrock as private, managed deployments within CiiVSOFT’s own AWS environment, rather than as public API endpoints. Our current Third-Party AI Providers are listed at ciivsoft.com/subprocessors and may be updated periodically. By agreeing to and complying with these AI Terms, we grant you a non-exclusive, revocable, non-transferable, limited right to access and use CiiVSOFT AI in accordance with your Service Terms, including these AI Terms.

You may provide prompts, data, text, or other input to be processed by CiiVSOFT AI (“Input”) and receive data generated by CiiVSOFT AI based on the Input (“Output”). Input processed by CiiVSOFT AI and the resulting Output are considered your Customer Data.

When using CiiVSOFT AI, you are solely responsible for the development, content, operation, maintenance, and use of Customer Data. You must ensure, and you represent and warrant, that your Input and use of CiiVSOFT AI and Output will not violate:

• Any applicable law;

• Your Service Terms, including these AI Terms;

• CiiVSOFT’s Acceptable Use Policy, available at ciivsoft.com/aup, as updated periodically.

You acknowledge that due to the nature of machine learning and the technology powering CiiVSOFT AI, Output may not be unique and may be similar or identical to output provided to other users. You should not rely on factual assertions in Output without independently verifying their accuracy; Output that appears accurate due to its detail or specificity may still contain material inaccuracies. CiiVSOFT AI may not dynamically retrieve information, and Output may not account for events or changes to underlying facts occurring after the relevant model was trained. Output should be evaluated for accuracy and suitability for your use case, including through human review.

Every CiiVSOFT AI evaluation is decision support only. CiiVSOFT AI does not make or execute autonomous decisions, and a human decision is required before any outcome is confirmed, as set out in your Service Terms.

CiiVSOFT’s architecture is built around data minimisation. Where a CV, resume, or other application document is received from your ATS, personal and sensitive information contained within it is redacted immediately on ingestion, before any content reaches CiiVSOFT AI. Original documents are discarded immediately after redaction and are not retained.

Third-Party AI Providers do not receive personal data at any point in the provision of CiiVSOFT AI.

To the extent that content provided to CiiVSOFT contains Personal Data (or similar term) as defined in any applicable data processing addendum, you instruct CiiVSOFT and our sub-processors to process that Personal Data to provide the Services, subject to our Privacy Policy and our Data Processing Addendum, available at ciivsoft.com/dpa. You consent to our use of applicable Third-Party AI Providers as sub-processors, as listed at ciivsoft.com/subprocessors.

Your use of CiiVSOFT AI does not grant CiiVSOFT any right or license to use or share Customer Data in a manner inconsistent with your Service Terms, unless otherwise agreed by you. CiiVSOFT does not use, or permit others to use, Input or Output to train the generative AI models used to provide CiiVSOFT AI.

All inference takes place within CiiVSOFT’s private AWS environment, and content does not leave that environment during processing.

Third-Party AI Providers will not:

• Log Input or Output for human review;

• Save or retain Input or Output.

Operational metadata associated with CiiVSOFT AI usage may be retained and used solely for billing, safety, and compliance purposes.

CiiVSOFT retains AI Output as described in our Privacy Policy and our Data Processing Addendum.

CiiVSOFT may suspend your access to any portion or all of CiiVSOFT AI if:

• CiiVSOFT reasonably believes or determines that your use of CiiVSOFT AI violates these AI Terms or poses a risk to CiiVSOFT, the Services, or a third party;

• Amazon Web Services or a Third-Party AI Provider requires such suspension, or has suspended or terminated CiiVSOFT’s access to or use of the services or products required to enable your access to CiiVSOFT AI;

• CiiVSOFT’s provision of CiiVSOFT AI to you is prohibited by legislation, regulation, or other government action.

CiiVSOFT does not warrant the availability or uptime of foundation models made available through AWS Bedrock. Unavailability of CiiVSOFT AI caused by Amazon Web Services or by a Third-Party AI Provider will not constitute downtime under CiiVSOFT’s Service Level Agreement, available at ciivsoft.com/sla.

CiiVSOFT may provide you with a version or feature of CiiVSOFT AI that is not generally available, as part of an alpha, beta, limited release, developer preview, or similar program (“AI Beta”). Such AI Beta Features might contain bugs, errors, or omissions and are provided for testing purposes only, on an “AS IS” basis, without any warranty, liability, indemnity, or performance obligations. AI Beta Features are not subject to any support commitments and might never be made generally available. We may discontinue AI Beta Features or revoke your access to them at any time, without liability to you. Discontinuing or making AI Beta Features inaccessible may make some or all of your Customer Data inaccessible.

We may modify or update these AI Terms periodically, so you should review this page regularly. We will update the “Last Updated” date at the top of this page when changes are made. If the changes are material, we will provide reasonable notice before the changes take effect, either by emailing the email address associated with your account or by notifying you through the Services. Your continued use of CiiVSOFT AI after any changes become effective constitutes your acceptance of the new AI Terms. If you do not agree to any part of these AI Terms or any future AI Terms, you must contact CiiVSOFT at info@ciivsoft.com before the changes become effective and discontinue use of CiiVSOFT AI. If CiiVSOFT fails to provide notice of material changes as specified, your use of CiiVSOFT AI will continue to be governed by the previous AI Terms until you consent to the new version. Renewing your subscription or otherwise agreeing to the new AI Terms constitutes consent.
